These Terms of Service ("Terms") govern your use of Vivid Signature ("the Service"), operated by Waterman Consulting Services, LLC ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Vivid Signature is a software-as-a-service (SaaS) platform that enables users to create, customize, and deploy professional email signatures. The Service is provided on a subscription or lifetime-deal basis as described at the time of purchase.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Lifetime Deal Terms

Lifetime deals purchased through AppSumo or other promotional channels grant you perpetual access to the tier of service specified at the time of purchase, subject to the following conditions:

• "Lifetime" means the lifetime of the product. If we discontinue the Service entirely, we will provide at least 90 days' notice and offer data export.
• Lifetime deals include all features described in the purchased tier at the time of activation.
• Future features may be included at our discretion but are not guaranteed for lifetime deal holders.
• Lifetime deals are for individual or single-business use and may not be resold.

4. Refund Policy

• AppSumo purchases: Covered by AppSumo's 60-day money-back guarantee. Refund requests within 60 days of purchase should be submitted through AppSumo.
• Direct purchases: We offer a 14-day refund policy for subscription plans. Contact info@vividsignature.com to request a refund.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to promote illegal activity.
• Upload content that is defamatory, obscene, or infringes on third-party rights.
• Attempt to reverse-engineer, decompile, or disassemble the Service.
• Use automated tools to scrape, crawl, or extract data from the Service without permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Share, resell, or sublicense your account access to unauthorized parties.

6. Intellectual Property

The Service, including its design, code, branding, and documentation, is the intellectual property of Waterman Consulting Services, LLC. You retain ownership of the content you create using the Service (your signature designs, uploaded logos, and text). By using the Service, you grant us a limited license to store and process your content solely to provide the Service.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We are not liable for downtime caused by factors beyond our control.

8. Termination

We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately, though we will retain your data for 30 days to allow export.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATERMAN CONSULTING SERVICES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Texas.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Your continued use after changes constitutes acceptance of the revised Terms.
